Syspro’s Legal Compliance
Syspro holds copyrights over our software and related material; this safeguards our original work of authorship, including our software code, documentation, and other creative content. We require that users must respect Syspro’s intellectual property rights by not reproducing, distributing, or modifying their software without proper authorization.
We also protect our brand identity through trademarks; trademarks cover brand names, logos, slogans, and other distinctive elements associated with Syspro. Unauthorized use of these trademarks is prohibited.
Syspro’s Intellectual Property Rights Policy
Introduction
Syspro’s Intellectual Property Rights Policy outlines the way in which Syspro deals with its Intellectual Property Rights, as well as all persons and entities with which Syspro does business.
For the purposes of this Policy, “Intellectual Property Rights” means all existing and future intellectual property rights of whatsoever nature arising anywhere in the world, whether registered or unregistered, including (without limitation) trademarks, trade names and service marks, rights of copyright, design rights, patent rights, trade secrets and confidential information, together with applications for any of these intellectual property rights.

Intellectual Property Rights Policy
- Syspro recognizes that it and the Third Parties own Intellectual Property Rights and acknowledges these Rights are proprietary property and a valuable trade secret of Syspro and the Third Parties.
- Ownership, right, title, and interest in the Intellectual Property Rights remains at all times with the owner of same.
- Syspro and the Third Parties agree to hold all Intellectual Property Rights of each party in confidence and not to disclose any of them to any unauthorized third party.
- Syspro and the Third Parties will not attack or assist others in attacking the validity or ownership of the other party’s Intellectual Property Rights.
- Syspro and the Third Parties will not alter or remove any details of ownership, copyright, trademark, or other proprietary rights connected with the Intellectual Property Rights and the use of the Intellectual Property Rights.
- Syspro and the Third Parties will ensure that its employees, consultants and independent contractors are aware of the obligations contained in this Policy and that they are placed under similar obligations of confidence.

Professional Services Agreement
Cloud ERP Hosting Services Agreement
Should the customer require our Cloud ERP services, these services are hosted in the cloud in terms of an agreement which Syspro ultimately has with Azure. This agreement refers all customers to the terms and conditions of the use of the Azure platform and the customer must abide by same.
This agreement also regulates the usage requirements of the customer and the fair use of the Azure platform, as well as the consequences of the potential over-use of the Azure platform.
Cloud ERP Software Support Services Agreement
In the event that Syspro provides you with support services for our Cloud ERP services, you are required to agree to and abide by our Cloud ERP Support Services Agreement. This agreement regulates how and when Syspro provides you with support on our Cloud ERP service offering.
This agreement contains Syspro’s support turnaround times, depending on the level of urgency, and what support services are included in our services and which ones may be excluded and may require a professional services agreement to be concluded.
